Houses of Parliament   The Companies Act 2006 received Royal Assent on Wednesday, 8 November 2006.  The longest Act in Parliamentary history, it introduces significant changes designed to simplify and improve company law.  SJ Berwin has been in a unique position to gain insight into the legislation’s progress through Parliament with corporate partner, Jonathan Djanogly MP, the Shadow Solicitor General and Shadow Minister for Trade and Industry, leading for the Conservative Opposition on the Bill.

Following the consultation on implementation which began in February 2007, the Government has now stated that full implementation of the legislation will occur by October 2009 and a revised implementation timetable was published in December 2007. SJ Berwin will continue to keep clients informed throughout the implementation process via our Companies Act 2006 Bulletin. We have also produced a series of Guidance Notes which provide commentary on the most significant changes being introduced by the new Act.

Partner Simon Witney is a member of the British Venture Capital Association's Legal and Technical Committee and he worked closely with the BVCA on a number of changes to the law that are of particular importance to the private equity and venture capital industries. Simon led the BVCA's lobbying efforts in several key areas, including financial assistance and conflicts of interest.
