Brian Carne is a partner in the Structured Finance Practice. Brian qualified in 1995
and joined SJ Berwin LLP as a partner in 2006, having previously been a partner
at Lovells for 4 years and Head of Derivatives.

Brian advises financial institutions and corporate clients in relation to securitisations,
warehousings, repackagings, derivatives and all other types of structured finance.
He has widely recognised expertise in mortgage and other loan securitisations and
warehousings, whole business securitisations and fund derivatives.

Recent transactions include advising Base Commercial Mortgages and its parent
AnaCap Financial Partners LP on a £150 million warehouse of commercial
mortgage loans, Dominion Funding Limited on a US$350 million warehouse facility
from Erasmus, Rabobank’s conduit, backed by life insurance policies, Insurative on
the establishment of a life insurance premium finance business, including
warehouse facilities, ImageSat on the English law aspect of securitisation of Israel
satellite revenues, Vector Hospitality plc on its abortive financing arrangements,
NM Rothschild & Sons on a €280 million warehouse of loans secured on life
policies and Spanish property and on its loans secured on life policies and
Portuguese property and Rabobank on the conduit financing of that warehouse
and Lehman Brothers on over 150 repackagings of and derivatives linked to hedge
funds, including collateralised fund obligations. He has also advised Doughty
Hanson and Ranks Hovis McDougall on the creation, maintenance and repayment
of RHM’s £650 million whole business securitisation and NM Rothschild & Sons on
the whole business securitisation of The Isle of Man Steam Packet Company
Limited, FCE Bank plc on the securitisation of UK and European retail auto loans
and dealer floorplan auto loans through a mastertrust and the London Mortgage
Company on 3 securitisations and 4 warehousings of English mortgage loans.
