Massimo Chiaia concentrates on corporate and commercial law, with particular experience in insurance and corporate finance.

Mr. Chiaia advises on all aspects of the laws and regulations relating to Italian financial markets, including public tender bids, private placements, debt financing and offering circulars.

Mr Chiaia's experience also includes corporate and financial restructuring, financial derivatives (including insurance products), M&A transactions and joint ventures, in particular in the insurance sector, regulatory compliance for listed and insurance companies, venture capital transactions and corporate litigation.

Mr Chiaia also leads the commercial practice jointly with Valentina Pomares, Counsel of the firm, who is responsible for the employment and labour practice.

Before joining SJ Berwin in November 2005, Mr. Chiaia was a partner at White & Case, prior to which he was a partner at Morano & Associati, a highly regarded Italian boutique firm and, prior to that, was a partner at Simmons and Simmons and Studio Legale Bisconti.

Graduated in law at the University of Milan, 1989. Specialized in Corporate Finance at the Amsterdam Institute of Finance Specialized in Privatization, Regulatory & Corporate Governance, Harvard Institute for International Development.

Academic Activities and Publications
Mr. Chiaia is a lecturer in Elements of Corporate Finance and Financial Markets at the master courses of the Independent University Institute C. Cattaneo of Castellanza. Mr. Chiaia is member of the Scientific Committee of the review Azienda Bancaria – settore finanza (Banking Enterprise – Finance sector).

Mr. Chiaia is also a member of the Comitato di Fiscalità Finanziaria (CFF) (Financial Taxation Committee) jointly organised by the Bocconi University of Milan and ABI – Associazione Bancaria Italiana (Italian Bankers Association) with the Centro Ricerche Tributarie dell’Impresa (CERTI) (Centre of Fiscal Researches for Enterprises) of the same University.

As assistant-professor at the Commercial Law Institute of the University of Milan, Mr. Chiaia has run specialized seminars and has run seminars organized by SME – Service Management Enterprise of Montecatini Terme to bring executives of banks adhering to ABI- Associazione Bancaria Italiana (Italian Bankers Association) up to date on the Consolidated Banking Act.

Mr. Chiaia has published the following contributions in the Commercial Jurisprudence Review:

  • New forms for the disclosure of relevant shareholdings
  • Relevant shareholdings in listed companies. New laws and regulations
  • Transfer of relevant shareholding and disclosure obligations deriving from "insider trading" provisions

Mr. Chiaia is also author of the book Crisis, restructuring and restart of the business, Milan, 2000 (edited jointly with Masullo and Motti).
