The Private Equity Team at SJ Berwin LLP has pleasure in inviting you to its Tenth Annual Seminar.  A short overview of important commercial, legal, tax and regulatory developments.  This year's seminar will be preceded by a champagne breakfast to celebrate a year of exciting anniversaries for the Private Equity Industry - the 10th Annual SJ Berwin European Funds Update, SJ Berwin’s 25th Anniversary, the 20th Anniversary of the BVCA Statement and Guidelines and the 100th Anniversary of the Limited Partnerships Act.

Background
 
It has been a landmark year for European private equity, with greater media focus and political pressure than ever before. Tax and regulatory threats to the industry appear almost daily, and headline commercial terms and incentive structures are coming under increasing pressure.

Programme
 
This year we will adopt a more informal approach, with a panel discussion reviewing the key developments over the last 12 months and plenty of opportunities to quiz our resident funds, tax and regulatory experts.
 
We will share our views on which threats are real, and offer suggestions on how to deal with them in the year ahead.
 
The wide-ranging discussion will cover: 

  • developments in fund terms, and responses to growing fee pressure
  • commentary on our annual survey of terms and conditions
  • threats to tax deductibility of debt, in the UK and elsewhere in Europe, and to the tax treatment of carried interest and management equity
  • MiFID and other regulatory horrors
  • the industry's response to demands for more accountability and disclosure, and stunts with camels
