The Responsibilities of Company Directors

This Breakfast Seminar will offer practical guidance on the duties and potential liabilities of directors, particularly those appointed to sit on the boards of portfolio companies.
Directors' responsibilities are at the top of the agenda. Not only is UK company law currently undergoing its biggest ever shake up, with the question of directors' duties being considered as part of this process, but economic conditions are focussing attention on the potential liabilities of directors if things go wrong.
SJ Berwin has launched a fully updated edition of its pragmatic guide to the responsibilities of directors of UK companies, and this breakfast seminar will focus on aspects of that guide which are particularly relevant to non-executive directors of portfolio companies. As well as briefly reviewing the progress of the UK's company law review, Philip Goldenberg - who has been personally involved in this review - will look at the main duties which a director owes to his or her company.
Adam Plainer, a partner in our Reconstruction and Insolvency Team, will then look at potential liabilities in the event that a company gets into financial difficulties - and will provide guidance on ways to avoid personal liability or damage to reputation.
Environmental, health and safety issues are always particularly important, and Mark Brumwell - a partner specialising in the field - will review those aspects.
