Recent Developments in Corporate Law

This session - at which we shall review important recent developments in corporate finance law and practice - is aimed principally at in-house lawyers, but anyone who needs to stay up to date with company law is very welcome. The sessions will be modelled on our internal know how meetings, and will therefore be informal and participative.

The session will last around one hour, and there will then be some time available for discussion.

The topics that we will be covering this time include:

  • An important recent case on warranties, due diligence and disclosure (Infiniteland v Artisan Contracting)
  • A recent case on the enforceability of drag along provisions in a company's articles (John Victor Constable v Executive Connections)
  • Fixed charges over book debts after the House of Lords' decision in Re Spectrum
  • Important changes to the definition of "public offer" in the Prospectus Directive
  • An update on the now imminent new Companies Act
