SJ Berwin LLP has advised the nine executive members of the investment management team of Standard Life Investments (Private Equity) Limited ("SLIPE"), on the proposed re-organisation of SLIPE's private equity investment management business.

SLIPE, a wholly owned subsidiary of Standard Life Investments Limited, provides private equity investment management and ancillary services to a variety of fund of funds vehicles.  SLIPE will transfer all of its business and assets to a new limited liability partnership, SL Capital Partners LLP, in exchange for which it will be entitled to 100% of the capital value of the business transferred and 60% of the economic and voting rights going forward.  The other 40% of the economic and voting rights will be held by the nine executive members, who will have an option to acquire a further 13% interest if a party hostile to its private equity interest gains control of Standard Life.

The SJ Berwin team advising the re-organisation was led by funds partner Josyane Gold and corporate transactional partner Joanna Hamilton, assisted by associate Cindy Wishart.
