SJ Berwin Advises BioXell on Licence Agreement
The licensee, one of the world's leading pharmaceutical companies, will obtain exclusive rights to develop BioXell's initial product candidate directed to TREM-1, currently in preclinical development, and other candidates directed to the TREM-1 target. The licensee and BioXell will also collaborate on the further research of other TREM receptors.
The SJ Berwin team was lead by Commerce & Technology partner Andrew Shindler, a member of the firm's cross departmental Pharmaceutical Group. Commenting on the deal, Andrew said: "We were delighted to work with BioXell on this significant licensing agreement. The collaborative approach of both parties ensured a smooth and swift resolution of the complex legal and commercial issues inevitably involved in this type of deal, which we hope will result in significant benefit to future patients".
Meenu Chhabra, BioXell's Executive Director of Business Development said: "We are extremely pleased that our licensee is as excited as we are about the potential of the TREM platform, and believe this collaboration may be beneficial for patients."

SJ Berwin has announced that it advised BioXell, the Italian biopharmaceutical company on its recently concluded exclusive, worldwide licence agreement for development of TREM (Triggering Receptors Expressed on Myeloid Cells) related therapeutic and diagnostic products, which is the subject of a press release issued by BioXell on 23 May. Under the terms of the agreement, BioXell will receive an up-front payment and, in addition, could receive as much as $150 million in milestone payments, including $55.5 million for the successful development of the first product for the first indication and additional milestone payments for further development of the first candidate and follow-on product candidates in subsequent indications, and has a right to royalties on future product sales upon completion of all required clinical trials and product approvals.The licensee, one of the world's leading pharmaceutical companies, will obtain exclusive rights to develop BioXell's initial product candidate directed to TREM-1, currently in preclinical development, and other candidates directed to the TREM-1 target.
