BENCIS Capital Partners' new fund, BENCIS Buyout Fund III, has held its first and final closing in the amount of € 375m, significantly exceeding the size of the previous fund. Investors include Goldman Sachs, AXA Private Equity and Pantheon Private Equity.
The new fund will focus on management buyouts of middle market companies in traditional industry sectors in the Benelux region, with transaction size typically being between € 25 million and € 150 million.
Lead legal counsel to the Fund was SJ Berwin LLP who advised on the structuring of the Fund, the key documentation and negotiations with investors. The SJ Berwin LLP team was headed by partner Sonya Pauls from the Munich office who was assisted by associates Adam Lippiett, Martin Brockhausen and Claudia Zeibe.
The Fund was advised on Guernsey legal issues by Ozannes. Dutch firm Loyens & Loeff acted as legal and tax counsel on all pertinent Dutch issues and US firm Ropes & Gray advised on US tax, legal and regulatory issues.
