SJ Berwin advises NicOx S.A on research, option, development and licensing agreement with Pfizer Inc.
This is a comprehensive agreement. During the first phase of the collaboration, Pfizer and NicOx will be jointly responsible for research programmes under the supervision of a joint steering committee. Upon successful completion of the first phase, Pfizer will be responsible for funding the further development and future global commercialisation of selected lead compounds. Milestones of up to EUR 37 million are payable, followed by royalties in line with industry standards on sales of successfully developed products.
The SJ Berwin team was lead by Commerce & Technology partner Andrew Shindler.
Commenting on the deal, Andrew said: "This agreement is a significant endorsement of NicOx's nitric-oxide donating technology. We were pleased to advise on what we hope will be both commercially successful and of significant benefit to future patients. Although complex, the agreement was concluded smoothly and swiftly, thanks to an excellent relationship with NicOx and with Pfizer and their in-house legal team based in New York".

SJ Berwin has announced that it advised NicOx S.A, an emerging pharmaceutical research company listed on the Nouveau Marché on a research, option, development and licensing agreement with Pfizer Inc. concluded on 25 August. This agreement grants Pfizer an option to acquire an exclusive worldwide license covering early-stage NicOx proprietary nitric oxide-donating compounds in an undisclosed field.This is a comprehensive agreement.
