Established in March 2001 by a core team of experts in private equity legal and taxation work, SJ Berwin’s Paris office is now a thriving practice comprising more than 60 lawyers, including 17 partners, and is continuing to expand.
Our Paris office’s main clients are investment funds, French and international companies and investment banks.
With a large team dedicated to the creation of all types of “private” funds, SJ Berwin Paris is the clear market leader in France for this practice area. Our lawyers advise investment funds in the creation of private equity funds within France and abroad, but also in the creation of infrastructure funds, real estate funds, funds of funds and, increasingly, hedge funds.
The Paris office also specialises in advising investment funds in their acquisitions and in private equity transactions in general. The team participates in many cross-border leveraged acquisitions as well as venture and capital development transactions. We offer the full range of transactional services including MBOs, LBO’s, exits, take privates and secondary buyouts, with a specific focus on the mid-cap segment, which, by and large, forms the bulk of the French LBO Market, and where SJ Berwin is the absolute leader.
The Finance department advises senior and mezzanine lenders, as well as private equity funds, on the financing of LBO transactions.
The Paris office’s lawyers also specialise in advising on mergers & acquisitions and joint-ventures, and provide assistance to large and mid-sized French and foreign companies on the legal aspects of their IPOs and restructuring transactions.
Our Tax department has extensive experience in tax-efficient structuring and the tax treatment of carried interest on behalf of investment funds, including combined structures such as French FCPRs and FCPs, as well as limited partnerships and Luxembourg SICARs or SIFs. Our tax lawyers also specialise in tax structuring of acquisitions, in particular LBO transactions, venture deals and property investments. In addition, they have particular expertise in negotiating with tax authorities in tax audits and tax litigation.
Our office also has a department with extensive experience in EU & Competition law, with a team specialised mainly in merger control work, cartel investigations and dominance cases, French unfair trade practice rules and consumer affairs.
The Paris office also has a strong real estate practice, well recognised in the market. Our real estate team specialises in advising mainly European and US companies in their real estate investments in France (acquisitions, construction, property tax, commercial property and real estate funds structuring).
More recently, the office has developed a strong restructuring practice, advising companies in financial distress and, more generally, firms facing crisis situation.
